Terms of Service

These Terms of Service ("Terms") govern your use of flintbadger.site (the "Site") and the logo design, branding, and website design services (the "Services") provided by Flint Badger LLC ("we," "us," or "our"). By using the Site or engaging us for Services, you agree to these Terms. If you do not agree, please do not use the Site or the Services.

1. Use of the Site

You may use the Site for lawful purposes only. You agree not to interfere with the Site's operation, attempt to gain unauthorized access to any part of it, submit false or misleading information through our forms, or use automated tools to collect content from the Site.

2. Proposals and project agreements

Every project begins with a written proposal that describes the scope of work, deliverables, timeline, and price. Work starts once you approve the proposal and pay the deposit it specifies. The approved proposal and these Terms together form the agreement for that project. If the proposal and these Terms conflict, the proposal controls for that project.

3. Payment

• Unless the proposal says otherwise, projects require a 50% deposit before work begins, with the balance due on delivery of the final files or launch of the website.
• Invoices are due within 14 days of the invoice date. Work may pause on overdue accounts until payment is received.
• Deposits cover the time reserved and work performed, and are not refundable once work has started.
• Third-party costs, such as domain registration, hosting, stock imagery, and font licenses, are billed at cost and are not included in our fees unless the proposal says so.

4. Client responsibilities

You agree to provide the content, materials, feedback, and approvals needed to complete the project in a timely manner. You confirm that you own or have permission to use any logos, images, text, or other materials you give us, and that our use of them in your project will not infringe anyone's rights. Delays in providing materials or feedback may extend the project timeline.

5. Revisions

Each proposal states the number of revision rounds included. A revision round is a consolidated set of feedback on the current concept. Requests that go beyond the included rounds, or that change the agreed scope, are quoted separately before any additional work begins.

6. Ownership and intellectual property

• When the project is paid in full, you own the final approved deliverables, including final logo files, brand assets, and the custom design of your website.
• We keep ownership of unused concepts, drafts, and preliminary work that were not selected as final deliverables.
• Websites may include open-source software, themes, or licensed components that remain subject to their own licenses.
• We may show completed work in our portfolio and marketing materials unless you ask us in writing not to.

7. Cancellation

Either party may cancel a project with written notice. If you cancel, you pay for work completed up to the date of cancellation, and the deposit is applied to that amount. Any work product delivered before cancellation remains ours until it is paid for. If we cancel for reasons other than your breach of these Terms, we refund any payments for work not yet performed.

8. Websites, hosting, and maintenance

Unless the proposal includes hosting or maintenance, you are responsible for your domain, hosting, backups, software updates, and security after the website is launched and handed over. We are not responsible for changes made to the website by you or by third parties after handover.

9. Text messaging (SMS) program

By checking the SMS consent box on our contact form, you agree to receive informational text messages (replies to your inquiry, project updates, scheduling notices, and customer support messages) from Flint Badger LLC at the mobile number you provide. Message frequency varies. Message and data rates may apply. For help, reply HELP or email us at contact@flintbadger.site. You can opt out at any time by replying STOP. Consent to receive text messages is optional and is not a condition of purchasing any Service. We do not send marketing or promotional text messages. 10. Privacy

Our collection and use of your information is described in our Privacy Policy. We do not sell your personal information, and we do not share your mobile phone number or text messaging consent with third parties or affiliates for marketing purposes.

11. Disclaimers

The Site is provided "as is." We work carefully, but we do not guarantee that the Site will always be available or error-free, or that any design will achieve a particular business result. Except as stated in a proposal, we make no warranties, express or implied, about the Services.

12. Limitation of liability

To the fullest extent permitted by law, our total liability for any claim relating to the Site or the Services is limited to the amount you paid us for the specific project giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data.

13. Governing law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict of law rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Kentucky.

14. Changes to these Terms

We may update these Terms from time to time. The effective date at the top of this page shows when they were last changed. Continued use of the Site after a change means you accept the updated Terms. Projects already in progress remain under the Terms in effect when the proposal was approved.
